Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Query Guard Inc., a Delaware corporation ("QueryGuard," "we," "us," or "our"). By accessing or using the QueryGuard platform at queryguard.io (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

QueryGuard is a software-as-a-service (SaaS) platform that helps agencies and in-house marketing teams identify wasted spend and optimization opportunities in Google Ads data. The Service may include features such as:

• Uploading and analyzing Google Ads CSV exports
• Connecting Google Ads accounts via API for automated analysis
• Generating reports, insights, and recommendations
• Sharing analyses with team members and clients

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@queryguard.io if you become aware of any unauthorized use of your account.

QueryGuard organizes access around Organizations. You may be an owner, administrator, or member of one or more Organizations. The administrator of an Organization controls access, permissions, and data within that Organization.

QueryGuard offers a free tier with limited functionality, as well as paid subscription plans with additional features and capacity. Details of current plans and pricing are available at queryguard.io/pricing.

Paid subscriptions are billed on a recurring basis (monthly or annually) and are non-refundable except as required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with at least 30 days' notice. Price changes will apply to the next billing cycle after notice is given.

Free accounts that remain inactive for 90 consecutive days may be closed after we provide at least 14 days' prior notice to the email address associated with the account. For purposes of this section, "inactive" means no login or API activity. You may reactivate your account by logging in before the notice period expires.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or disassemble the Service or any portion thereof
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• Access the Service through automated means (bots, scrapers, etc.) except through our published APIs
• Upload malicious files, viruses, or any content intended to damage the Service or other users
• Resell, sublicense, or redistribute the Service or any output without our prior written consent
• Attempt to gain unauthorized access to other users' accounts, data, or Organizations

We may suspend or terminate your access if we reasonably believe you are violating these Terms.

You retain all ownership rights in the data you upload or connect to QueryGuard ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and analyze Your Data solely to provide and improve the Service.

You are responsible for ensuring you have the right to upload or connect any data to the Service. If you connect a Google Ads account or upload data on behalf of a client, you represent that you have authorization to do so.

We will not sell Your Data to third parties. For details on how we handle data, see our Privacy Policy.

The Service, including its design, code, features, documentation, and branding, is owned by Query Guard Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

You may use reports and analyses generated by the Service for your internal business purposes and to share with your clients and team members, subject to these Terms.

The Service integrates with third-party services including Google Ads, Stripe, and others. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

When you connect a Google Ads account, you authorize QueryGuard to access your Google Ads data in accordance with the permissions you grant. You may revoke this access at any time through your Google account settings.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

QueryGuard does not warrant that the Service will be uninterrupted, error-free, or secure, or that any analysis, recommendation, or insight provided by the Service will be accurate, complete, or achieve any particular result.

The Service provides analytical tools and suggestions. It is not a substitute for professional advertising, financial, or legal advice. You are solely responsible for any decisions you make based on the Service's output.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUERY GUARD INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Query Guard Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any data you upload or connect to the Service.

You may stop using the Service and close your account at any time by contacting us at support@queryguard.io.

We may suspend or terminate your account at our discretion, with or without cause, upon notice to you. Upon termination, your right to use the Service ceases immediately. We will make commercially reasonable efforts to allow you to export Your Data for 30 days following termination, unless termination was due to a violation of these Terms.

Sections 6, 7, 9, 10, 11, 13, and 14 survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and QueryGuard regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

Modifications. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective Date." Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
